These Terms & Conditions (“Terms”) govern your access to and use of DoneDeal (the “Service”), operated by D0neDeal (“DoneDeal,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

DoneDeal is software that helps contractors create estimates, proposals, and related documents, including with the assistance of artificial intelligence. The Service is a tool that assists you; it does not provide contracting, engineering, legal, accounting, or other professional services or advice.

2. Accounts & Eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it current.

3. Subscriptions, Fees & Billing

Paid plans are billed on a recurring basis through our third-party billing provider. Fees are described at sign-up and may change on notice. Except where required by law, payments are non-refundable. You authorize us and our billing provider to charge your payment method for applicable fees.

4. Acceptable Use

Don’t use the Service unlawfully or to infringe others’ rights.
Don’t upload content you don’t have the rights to, or that is unlawful, harmful, or deceptive.
Don’t attempt to disrupt, reverse-engineer, scrape, or abuse the Service or its usage limits.
Don’t misrepresent AI-generated drafts as independently verified professional work product.

5. AI-Generated Content & Estimates

The Service uses AI to generate drafts of estimates, pricing, scope, and proposal language based on the inputs you provide. AI output may be inaccurate, incomplete, or unsuitable for a given job. All output is a draft for your review. You are solely responsible for reviewing, correcting, pricing, and approving any document before relying on it or sending it to a customer, and for ensuring it complies with applicable codes, permits, laws, and your professional judgment. DoneDeal does not guarantee the accuracy of any estimate, price, quantity, timeline, or other AI-generated content.

Estimates and pricing generated by the Service are provided for general educational and informational purposes only. They are produced by AI from the information you supply and do not reflect, conform to, or rely upon any specific industry, trade, association, regional, or governmental pricing standard, guideline, schedule, cost database, or benchmark. They are not a professional estimate, appraisal, quotation, or bid, and must not be relied upon as such. You are solely responsible for independently determining and verifying all quantities, materials, labor, scope, and prices — and for the final numbers in any document you send to a customer or use to perform work.

6. Your Content

You retain ownership of the content you submit (photos, notes, customer information, documents). You grant DoneDeal a limited license to host, process, and use that content to provide and improve the Service, including sending it to our service providers (such as our AI provider) to generate output for you. You represent that you have the rights and any necessary consents to submit the content, including any customer information.

7. Intellectual Property

The Service, including its software, design, and trademarks, is owned by DoneDeal and its licensors and is protected by law. These Terms grant you no rights in our intellectual property except the limited right to use the Service.

8. Third-Party Services

The Service integrates third-party services (for example, authentication and billing, email delivery, AI processing, and cloud storage). Your use of those services may be subject to their own terms, and we are not responsible for third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DONEDEAL AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY AI-GENERATED OUTPUT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification (Hold Harmless)

You agree to defend, indemnify, and hold harmless DoneDeal, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) any estimate, proposal, bid, contract, or work you create, send, or perform using the Service; (c) your content or your customers’ information; (d) your violation of these Terms or applicable law; or (e) your reliance on any AI-generated output. This obligation survives termination of your account.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends; certain provisions (including Sections 5–11) survive.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of [Your State], without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in [Your County/State], and agree to resolve disputes there, except where prohibited by law.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we’ll take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance.
